Risk Intelligence A/S signs agreement with major Hamburg-based ship owner/manager for the new Risk Intelligence System. The new Risk Intelligence System has attracted the major ship owner/manager, which has signed up with a short lead time. The Client will besides the System have access to some of the monthly and weekly intelligence reports.

Risk Intelligence A/S signs a major contract across several departments of a European Government.

Risk Intelligence has been providing intelligence to the Government’s Navy via the Risk Intelligence System for several years, the new agreement sees that provision grow across several departments. Not only is the access for almost twice as many Risk Intelligence System users but it will also be via an API feed which will enable unclassified intelligence fusion across multiple feeds – facilitating faster sharing and wider internal dissemination.

"The year of 2023 saw the successful completion of two central milestones in the creation of a stable and sustainable platform for growth. On the financial side the funding strategy was successfully completed to remove all short-term loan debt in the balance sheet. On the business side the new platform for the Risk Intelligence System was finalised and launched, which will be the basis for growth in the years to come.

 The new platform has turned the Risk Intelligence System into a whole other product from an intelligence product to an operational maritime security product by integration of new features and third-party data such as AIS. With these options, the client and users can now automate a number of security processes from planning via monitoring to active risk management and avoidance.

 From a business perspective it means that the license model has changed from the old simple model of users and number of vessels operated to a new model with three revenue streams. One is the original, which still forms the basis of the license. The next is selection of applicable features needed by the specific client and third is the selection of third-party data. Subsequently, nearly all clients will have additional features and data and therefore increased license fees."

Risk Intelligence ændrer ARR-opgørelsesmetode

Risk Intelligence har i dag meddelt markedet at de fremover ændrer metoden hvorpå de opgør ARR. ARR har tidligere for Risk Intelligence været bagud rettet. Det betyder at selskabet har opgjort ARR som de seneste 12 måneders ARR-aftaler, altså som ARR der er 100% kendt. Dette er dog ikke den mest gængse måde at opgøre ARR på, der typisk er et tal der kigger fremad. Fremover vil selskabet opgøre ARR som et fremadrette tal. Det betyder ARR vil være de næste 12 måneders estimerede ARR-tal.

Ændringen gør at det bliver lettere at følge den reelle udvikling i ARR-tallet og sammenligne med andre ARR-baserede virksomheder.

Risk Intelligence A/S (“Risk Intelligence” or "the Company") announces that the Company has secured a long-term loan of approx. DKK 6.7 million with board members and one shareholder.

As published during the process of the Rights Issue including in the press release of 11 October 2023 the Company had a commitment of a long-term loan with EIFO, the Danish State Growth fund (former Vækstfonden) as part of the planned funding process. The Company has during December arranged a long-term loan from board members and one shareholder to reach the objective of fully removing short-term loan debt from the balance sheet as of 31 December 2023. The new long-term loan by this replaces the planned EIFO loan.

The majority of the loan (approx. DKK 5 million) is provided by Member of the Board Stig Streit Jensen partly by conversion of short-term debt and partly in cash. Sandbjerg Holding ApS has provided approx. DKK 1.3 million.

MaRisk continues to lead the way in maritime intelligence platforms into 2024. The new Risk Intelligence System has attracted a major container line operator as soon as the year has begun. The Client will have access, not only to Risk Intelligence’s peerless analysis but also automated notifications, AIS fleet tracking, Voyage Intelligence tool and the ability to monitor sanctions all on one System.  

The Client operates over 100 vessels globally and has a well-developed security function who has selected Risk Intelligence as their intelligence partner to support them. They have already started receiving a tailored portfolio of intelligence updates and reports, addressing the various challenges that they face in their global operations.

Risk Intelligence A/S (“Risk Intelligence” or "the Company") announces the launch of the new Risk Intelligence System platform, which will significantly improve client and user value and create a solid foundation for growth in annual recurring revenue. 

MaRisk has been the benchmark for maritime intelligence platforms since 2008 and became the Risk Intelligence System, when PortRisk was added in 2015. Whilst continued development has been done since the last major platform launch in 2016, the Company is now ready to officially unveil the 4th generation to the market after a soft launch from 01 November to existing clients. 

As part of the 2025 Strategy, it was decided to develop a brand-new platform for the Risk Intelligence System, which should include the best content and features from the existing platform and combine it with new technologies, new user experience and flexible options for selection of add-ons. It was also decided for Risk Intelligence to fully focus on intelligence analysis and subsequently fully outsource the technical development of the new platform to a partner. Risk Intelligence has therefore been developing the new platform in very close cooperation with the partner, Geollect, from the UK, incorporating a new suite of features, as standard, but also has options to upgrade certain users to new optional features – tailoring the platform to suit an increasingly wide array of organisations using the Risk Intelligence System today.

• Total reported revenue up by 18% in Q3 2023 and by 16% YTD 
• Total invoiced revenue up by 25% in 2023 
• Total recurring revenue up by 7% in Q3 2023   
• Net Retention Rate 87%  
• Costs increased by 13% in Q3 
• EBITDA in Q3 2023 +2% and +8% YTD  
• Net profit in Q3 decreased by 16% and 9% YTD 
• 5 new clients signed during Q3 2023 or 13 new during 2023

In 2022, Risk Intelligence changed the principle for recognising revenue to full periodisation. Due to this change, revenue, total assets, and equity for 2021 have been restated as well as updated for 2022 compared to quarterly reports. According to the new principle, revenue is recognized over the length of the license agreement rather than the time of invoicing. This means that as of 30 June 2023, a total deferred revenue of DKKm 10.5 exists, which will be recognized as income in future periods. 

The new accounting and reporting principles have no impact on liquidity and cash flow, as all licenses will continue to be invoiced 12 months in advance with no option to terminate during the license period. Finally, the change has no impact on clients and partners. Invoiced revenue is revenue from all business streams, which has been invoiced in the period (no periodisation). This is what is the basis for liquidity and cash flow.

Risk Intelligence A/S ("Risk Intelligence" or the "Company") hereby announces the outcome of the rights issue of units, which was announced by press release on 3 October 2023 (the "Rights Issue"). The Rights Issue has been subscribed for a total of approximately 75.2 percent, of which approximately 43 percent was subscribed for with the support of unit rights and approximately 1 percent was subscribed for without the support of unit rights. Approximately 31.2 percent was subscribed by underwriters. Through the Rights Issue, Risk Intelligence receives approximately DKK 13.8 million before deduction of issue costs. The proceeds from the Rights Issue will be used to reestablish the equity, repay all short-term loans and for investments in new technology as well as to secure working capital for ongoing and upcoming growth initiatives.

Outcome of the Rights Issue

The subscription period in the Rights Issue ended on 24 October 2023. In total, 887,364 units, corresponding to 10,648,368 shares were subscribed for with and without support of unit rights, corresponding to approximately 75.2 percent of the Rights Issue. 506,715 units were subscribed for with unit rights, corresponding to approximately 43 percent, whereas 12,680 units were subscribed for without unit rights, corresponding to approximately 1 percent of the Rights Issue. 367,969 units were subscribed for by underwriters, corresponding to approximately 31.2 percent of the Rights Issue. Through the Rights Issue, the Company receives approximately DKK 13.8 million before deduction of issue costs, which amount to approximately DKK 2.3 million.

The Risk Intelligence System (MaRisk+PortRisk) including the cruise specific feature is now available to the client’s security and intelligence department. The Client is operating vessels on the traditional Mediterranean / Caribbean circuits as well as having boutique adventure experiences.  

The Client also has access to Risk Intelligence Advisory analysis reports and consulting services, providing full spectrum support for the security and intelligence team when they need additional horsepower for new destinations, re-positioning voyages and contingency planning.
